Terms of Service

1. Agreement to terms
These Terms of Service ("Terms") govern your access to and use of the Marquee application and related services (the "Service"), operated by GKNS Holdings Inc. dba Coasts ("Marquee," "we," "us," or "our"). By installing or using the Service, you ("you" or the "Merchant") agree to these Terms. If you do not agree, do not use the Service.
2. Eligibility
You must be at least 18 years old and authorized to act on behalf of, and bind, the business operating the Shopify store on which Marquee is installed. You are responsible for compliance with Shopify's own terms and policies.
3. The Service
Marquee displays real-time and historical sales metrics, goals, and visualizations derived from your Shopify store data on dashboards intended for display on screens and televisions. The Service depends on data provided by Shopify and on third-party infrastructure.
4. Accounts and access
You are responsible for maintaining the security of your Shopify account and any credentials used to access the Service, and for all activity that occurs through your installation. Marquee generates access URLs ("display tokens") for public dashboard viewing; you are responsible for controlling distribution of those URLs.
5. Subscriptions, fees, and billing
The Service is offered on tiered subscription plans. Current plans and prices are presented within the Service and may include Starter, Growth, and Pro tiers. All fees are billed through Shopify's billing system and are subject to Shopify's billing terms. By selecting a paid plan, you authorize recurring charges through Shopify until you cancel.
6. Free trial
We may offer a free trial period (currently 14 days). If you do not cancel before the trial ends, the plan you selected will convert to a paid subscription and billing will begin. We may modify or discontinue trials at any time.
7. Plan changes, cancellation, and refunds
You may change or cancel your plan at any time. Cancellation is effected by downgrading your plan or uninstalling the Service from your Shopify store. If you downgrade or cancel, access to plan-specific features (such as the number of available displays) will adjust accordingly, and displays exceeding a lower plan's limits may be paused. All fees are non-refundable except where required by law. Because billing is processed by Shopify, refund requests are subject to Shopify's policies.
8. Acceptable use
You agree not to: (a) use the Service in violation of any law or third-party right; (b) attempt to gain unauthorized access to the Service or its systems; (c) interfere with or disrupt the Service, including by circumventing rate limits or security controls; (d) reverse-engineer or copy the Service except as permitted by law; or (e) use the Service to display unlawful, infringing, or harmful content.
9. Intellectual property
The Service, including its software, design, and branding, is owned by Marquee and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service during your subscription. You retain all rights to your store data; you grant us a limited license to process that data solely to provide the Service.
10. Third-party services
The Service depends on Shopify and other third-party providers. We are not responsible for the availability, accuracy, or actions of third-party services, and your use of them may be subject to their own terms.
11. Service availability; no SLA
We strive to keep the Service available and accurate but do not guarantee uninterrupted or error-free operation. The Service is not sold with any service-level agreement or uptime guarantee. We may modify, suspend, or discontinue any part of the Service at any time. Metrics and visualizations are provided for informational purposes and may be delayed, incomplete, or inaccurate; you should not rely on them as the sole basis for business, financial, or legal decisions.
12. Disclaimer of warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT DISPLAYED DATA WILL BE ACCURATE OR COMPLETE.
13. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MARQUEE AND ITS OFFICERS, DIRECTORS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICE. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES YOU PAID TO US FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
14. Indemnification
You agree to indemnify and hold harmless Marquee and its officers, directors, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Service, your violation of these Terms, or your violation of any law or third-party right.
15. Suspension and termination
We may suspend or terminate your access to the Service, with or without notice, if you violate these Terms, if required by law, or if necessary to protect the Service or other users. You may terminate at any time by uninstalling the Service. Sections that by their nature should survive termination (including Sections 9, 12, 13, 14, and 17) will survive.
16. Changes to these Terms
We may update these Terms from time to time. When we do, we will revise the "Last updated" date and, where appropriate, provide additional notice. Continued use of the Service after changes take effect constitutes acceptance.
17. Governing law and disputes
These Terms are governed by the laws of the State of California, United States, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the state and federal courts located in California, and you consent to that jurisdiction and venue.
18. Miscellaneous
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Marquee regarding the Service. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce any provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
